Not all of the provinces and territories across Canada use a “Company Key”, however the use of a mandatory Corporate Access Key (or similar access code) has become standard for federal and most provincial filings online.
In Ontario, a Company Key is a unique 9-digit code issued by the provincial government that acts as a secure “digital key” for your business. Since the launch of the Ontario Business Registry (OBR), it has become the primary tool for business owners to maintain control over their legal records.
Here is why you are being asked for the Company Key:
Required for Corporate Filings
As of February 1, 2025, a Company Key is required by the government for almost all transactions within the Ontario Business Registry. Without it, you can not:
File Annual Returns: All corporations must file these to remain in “good standing.”
Update Business Info: This includes updating the list of directors and officers or changing your business address.
Renew Registrations: If you operate a sole proprietorship or partnership or have a Business Name Registration, you need the key to renew your business name (Master Business Licence).
Dissolve a Business: Closing an entity officially requires this authorization.
Fraud Prevention and Security
Before the system of having a Corporation Key or Access Code, it was significantly easier for unauthorized individuals to make changes to a company’s information. The Company Key prevents this by:
Acting as a Gatekeeper:Only someone with the key can access the profile to make changes.
Preventing Identity Theft:It drastically reduces risk of scammers being able to change your business address in order to intercept mail or change directors to gain control of company assets.
Keeping your business “In Good Standing”
If you lose your key and/or fail to file your Annual Returns, your corporation can eventually be involuntarily dissolved by the government.
A dissolved corporation cannot conduct business legally, enter into contracts, or hold a bank account.
Retrieving a lost key can take up to 10 business daysif it must be sent by mail, which could result in missing critical filing deadlines.
